Terms of Service

1. Description of Service

Koto is a web application that allows you to connect your Salesforce organization and create shareable views of your Salesforce data. Authorized viewers can access, search, sort, filter, and export this data through unique share links without needing a Salesforce account or license.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you have the legal capacity to enter into these Terms and that your use of Koto complies with all applicable laws and regulations, including any terms governing your Salesforce subscription.

3. Accounts

You are responsible for maintaining the security of your account and for all activity that occurs under it. You must provide accurate information when creating your account. We authenticate users through magic-link email verification. You agree to notify us immediately at support@usekoto.com if you believe your account has been compromised.

4. Subscription and Billing

Koto offers a paid subscription plan (Koto Pro). By subscribing, you agree to pay the applicable fees as displayed at the time of purchase. Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date.

All payments are processed by Stripe. By providing payment information, you authorize Stripe to charge your chosen payment method for the subscription fees. You can manage your subscription, update payment methods, and cancel through your billing portal.

We reserve the right to change our pricing with reasonable notice. If you do not agree to a price change, you may cancel your subscription before it takes effect.

5. Your Data and Salesforce Connection

You retain all rights to your Salesforce data. Koto does not claim ownership of any data accessed through your Salesforce connection. We access your Salesforce data solely to provide the Service.

You are responsible for ensuring that your use of Koto complies with your Salesforce subscription agreement, including any restrictions on data sharing or API usage. You are also responsible for the content you choose to share through Koto and for ensuring that sharing such data does not violate any applicable laws, regulations, or contractual obligations (including confidentiality agreements).

6. Acceptable Use

You agree not to use the Service to share data that you do not have the right to share, violate any applicable law or regulation, infringe on the rights of others, or distribute harmful, fraudulent, or misleading content.

You also agree not to attempt to gain unauthorized access to the Service or its systems, reverse-engineer the software, interfere with the Service's operation, or use automated means to access the Service beyond normal usage patterns.

7. Intellectual Property

The Service, including its design, code, features, and branding, is owned by Overland Innovators and protected by applicable intellectual property laws. These Terms do not grant you any right to use the Koto name, logo, or trademarks without our prior written consent.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure. We are not responsible for the accuracy or completeness of any Salesforce data accessed through the Service.

9. Limitation of Liability

To the fullest extent permitted by law, Overland Innovators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your use of the Service. Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Overland Innovators from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to your use of the Service, your violation of these Terms, or your sharing of data through the Service.

11. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Upon termination, your right to use the Service ceases immediately, and we will delete your account data in accordance with our Privacy Policy.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through a notice on the Service. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict-of-law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in New Jersey.
